1. Who we are

P2P Properties Limited (URSB Registration :80034085844577) is a Ugandan-registered commercial property developer and master lessor with registered offices at Wakaliga, Opp Veterans Market, Rubaga, Kampala, Uganda. References to “we”, “us” and “P2P” mean P2P Properties Limited.

2. Nature of the offer

Reservation of a P2P unit is a pre-construction lease commitment, not a sale of shares, not a securities offering, and not a bank deposit. Advance-rent funds are used to construct the specific unit you have reserved once floor-fill conditions are met.

3. Reservation, deposit and balance

Reservations require a 50% deposit wired to our verified corporate bank account disclosed in your signed lease. The remaining 50% is due within 60 days of the deposit, or sooner if your floor sells out. Late payment cancels the reservation under Section 5.

4. 4-Year Free-Rent Bonus

Every executed lease includes a contractually documented 4-Year Free-Rent Bonus extending occupancy beyond the paid core term. The Bonus is a rent-free right of use, not a cash payment. Unused Bonus years are forfeited at the end of the term.

5. Cancellation and refunds

Voluntary cancellation before physical construction begins on your floor entitles you to a refund of 60% of your deposit. P2P retains 40% as liquidated damages covering marketing, legal, land-holding and opportunity costs. Refunds are processed by our legal department to the originating bank account within 30 days.

6. Construction and delivery

Construction begins once every room on your floor is fully paid. Reasonable delays are absorbed without penalty. Delays beyond 90 days past the contractual completion date entitle you to pro-rata rent credit or a partial refund, as set out in your lease.

7. Payments and anti-fraud

All payments must be made by bank wire to the account disclosed in your signed lease. We do not accept physical cash or personal mobile money for advance-rent payments. Any request for payment to any other account is not authorised by P2P Properties Limited.

8. Limitation of liability

To the maximum extent permitted by Ugandan law, our liability under any lease is limited to the amounts you have paid to us under that lease. We are not liable for lost profits, lost sub-let income, or indirect or consequential loss.

9. Governing law and jurisdiction

These Terms and every P2P lease are governed by the laws of the Republic of Uganda. Disputes are subject to the exclusive jurisdiction of the courts of Uganda, subject to the arbitration clause in your signed lease.
